At each stage of an acquisition or sale transaction, buyers and sellers can count on MSW to work diligently and efficiently to protect and advance their unique interests and achieve their objectives.
MSW regularly represents developers, owners, businesses and individuals in the acquisition and sale of all real estate asset types, including office, industrial, retail, multifamily, mixed-use, hospitality and R&D facilities. We work closely with our clients and their teams through the structuring, negotiation, due diligence, financing and closing stages of an acquisition or sale, and assist clients in the formation of real estate holding entities and joint ventures.
MSW attorneys regularly draft and negotiate purchase and sale agreements with necessary contingencies for financing and land use approvals, analyze applicable land use regulations and review and address complex title and survey matters. MSW attorneys coordinate and provide advice on the due diligence activities of outside consultants, including environmental consultants, project planners and engineers.
The firm’s attorneys also regularly negotiate and close mortgage loans and tax incentives that finance property acquisition and development, drawing on the firm’s expertise in real estate finance and economic incentives.
